Contro Terms & Conditions.

These Terms & Conditions (“Terms”) govern your access to and use of the Contro platform, website, mobile applications, and related services (collectively, the “Services”) provided by Contro Limited (“Contro”, “we”, “us”, or “our”).

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you must not use the Services.

1. About Contro

Contro is a technology platform designed to facilitate digital asset-based payments, spending access, and related services through licensed and regulated third-party partners.

Contro is not a bank, not a lender, and does not provide deposit-taking services.

Certain Services, including card issuance, payment processing, custody, and digital asset services, are provided by authorized third-party partners and are subject to their respective terms and conditions.

2. Eligibility & Access

Access to Contro is subject to eligibility requirements, compliance checks, and ongoing review.

By using the Services, you represent that you:

    • Are at least 18 years of age (or the age of majority in your jurisdiction)
    • Have the legal capacity to enter into binding agreements
    • Are not prohibited from using the Services under applicable laws or sanctions regimes.

Access to specific features, limits, or tiers may be restricted, modified, or withdrawn at our discretion.

3. Membership Review & On-Chain Assessment

Access to Contro and its features may be subject to review, including assessment of on-chain activity, asset behaviour, usage patterns, and other risk or compliance signals.

Contro does not guarantee approval, continued access, or eligibility for any specific product, limit, or tier.

We reserve the right to:

    • Approve, decline, suspend, or revoke access
    • Modify access levels or features
    • Request additional information or verification at any time

4. Card Services

Payment card services, where available, are issued by authorized card program partners pursuant to their licensing arrangements.

Contro:

    • Does not issue cards directly
    • Does not set interchange, network rules, or card acceptance terms
    • Does not guarantee global acceptance or availability of card services

Card usage is subject to the issuing partner’s terms, network rules (e.g. Visa®), and applicable laws.

5. Digital Assets & Capital Access

Contro enables access to digital asset-based services through third-party providers.

Important disclosures:

    • Contro does not hold customer funds
    • Contro does not provide lending or credit directly
    • Any liquidity access, yield, or capital functionality is facilitated by third-party providers under their own terms
    • Digital assets are volatile and may fluctuate in value

You acknowledge that:

    • Digital asset transactions are irreversible
    • Market conditions, protocol risks, and third-party risks apply
    • Past performance does not guarantee future results

6. No Financial, Investment, or Legal Advice

Nothing provided by Contro constitutes:

    • Financial advice
    • Investment advice
    • Legal or tax advice
    • A recommendation to buy, sell, hold, or use any asset or product

You are solely responsible for your financial decisions and should seek independent professional advice where appropriate.

7. Fees & Charges

Fees may apply to certain Services and may be charged by Contro or third-party partners.

Fees, limits, and charges may change at any time and will be disclosed prior to use where applicable.

You are responsible for:

    • Applicable fees
    • Network fees
    • Third-party charges
    • Taxes or governmental charges

8. Compliance, Monitoring & Restrictions

To comply with applicable laws, Contro may:

    • Monitor transactions and activity
    • Report to regulatory authorities where required
    • Restrict, suspend, or terminate Services without prior notice

Prohibited activities include, but are not limited to:

    • Money laundering or terrorist financing
    • Sanctions violations
    • Fraud or misrepresentation
    • Unlawful or abusive conduct

9. Suspension & Termination

We may suspend or terminate your access to the Services at any time, with or without notice, if:

    • Required by law or regulation
    • You breach these Terms
    • We identify risk, misuse, or compliance concerns

Upon termination:

    • Your access to Services will cease
    • Certain data and records may be retained as required by law

10. Intellectual Property

All content, trademarks, logos, designs, and software associated with Contro are the property of Contro or its licensors.

You may not copy, modify, distribute, or exploit any part of the Services without prior written consent.

11. Limitation of Liability

To the maximum extent permitted by law:

    • Contro shall not be liable for indirect, incidental, consequential, or punitive damages
    • Contro is not responsible for losses arising from third-party services, digital asset volatility, network failures, or force majeure events

Your use of the Services is at your own risk.

12. Indemnification

You agree to indemnify and hold harmless Contro, its affiliates, officers, directors, and partners from any claims, losses, or liabilities arising from your use of the Services or breach of these Terms.

13. Privacy

Your use of the Services is subject to our Privacy Policy, which governs how we collect, use, and protect your information.

14. Changes to These Terms

We may update these Terms from time to time.

Continued use of the Services after changes constitutes acceptance of the updated Terms.

15. Governing Law

These Terms are governed by and construed in accordance with the laws of Canada, without regard to conflict of law principles.
